DeMasi Admitted to Oregon State Bar

DeMasiL PDXLauren DeMasi, a Lane Powell shareholder in the Business Department, and partnership tax advisor, has been admitted to the Oregon State Bar. DeMasi focuses her practice on corporate finance, mergers and acquisitions, and on advising investment funds including hedge funds, private equity funds, hybrid funds and funds of funds, as well as private fund managers and institutional investors regarding regulatory compliance, structure and tax considerations. She is also admitted to practice in New York.
 
DeMasi earned her J.D. from Cornell University Law School, and her B.A. from Pennsylvania State University in International Studies, Literature and Spanish.

Lane Powell Shareholder Jeffrey C. Wolfstone has been chosen as the 2016 recipient of the James B. Castles Leadership Award.
 
The James B. Castles Leadership Award was established in 1998 by the Oregon State Bar Business Law Section to recognize an Oregon business lawyer for excellence in the practice of business law, professionalism among fellow business lawyers, and outstanding community leadership.
 
For more than 30 years, Wolfstone has focused his practice on business law, including mergers and acquisitions, corporate and commercial finance, corporate law and governance, LLCs and other business organizations, venture capital and private equity, and sustainability and nonprofit corporations.
 
Throughout his career, Wolfstone has shown outstanding professional leadership. He is an oft-quoted author and speaker on business topics. He participated on the legislative drafting committee for HB 2826 (passed by the 2007 Oregon Legislature) enabling Oregon corporations to place in their articles of incorporation provisions regarding environmentally and socially responsible conduct, and the drafting committee for HB 2296 (passed by the 2013 Oregon Legislature) authorizing Oregon Benefit Companies.  He is the longstanding chair of the Oregon Nonprofit Corporation Act Task Force.
 
Wolfstone is an active member of Oregon Lawyers for a Sustainable Future, Corporate Governance Group; Japan-America Society of Oregon; Portland Tax Forum; Congregation Beth Israel; Oregon Entrepreneurs Network; Portland Angel Network; Oregon Jewish Community Foundation; and National Association of Corporate Directors, Portland Advisory Board. He currently serves as President of the Oregon Jewish Community Foundation.

Lauren DeMasi has joined Lane Powell as a Shareholder in the Firm’s Business Department

Lauren DeMasi is a business lawyer and partnership tax advisor. She focuses her practice on corporate finance, mergers and acquisitions, and on advising investment funds including hedge funds, private equity funds, hybrid funds and funds of funds, as well as private fund managers and institutional investors regarding regulatory compliance, structure and tax considerations. DeMasi has managed tax matters of multi-billion-dollar private equity fund closings and has extensive experience with ECI, loan origination, UBTI, deferred compensation, PFIC/CFC, FATCA, disguised sales, guaranteed payments, foreign governments and publicly-traded partnership rules. She also represents fund managers in connection with sales of their investment management businesses and investments by seed capital providers, as well as funds of funds and institutional investors apropos their investment activities.
 
Prior to joining Lane Powell, DeMasi was an attorney in the investment management and tax practice group at Schulte Roth & Zabel LLP, which has one of the country’s most prominent investment funds practices.  She received her J.D. from Cornell University Law School and her B.A. in International Studies, Comparative Literature; and Spanish from Pennsylvania State University.  DeMasi is licensed in the state of New York.

Bryan E. Powell Elected as Fellow of the American College of Mortgage Attorneys

Lane Powell Shareholder Bryan E. Powell has been elected as a Fellow of the American College of Mortgage Attorneys (ACMA).  He is Co-Chair of the Firm’s Real Estate and Land Use Practice Groups, and routinely advises clients on all aspects of financing and loan transactions, including lenders, borrowers, investors, owners, developers, and managers involved in complex commercial real estate and seniors housing matters.

ACMA is committed to improving and reforming laws and procedures affecting real estate secured transactions, and raising the level of professional responsibility of lawyers practicing in this area.  Fellows have distinguished themselves as practitioners in the field of real estate mortgages through their bar association activities, lecturing, authoring articles and program materials, participation in the legislative process, and writing briefs and/or arguing cases that are significant to mortgage transactions.
