Lauren DeMasi is a business lawyer and partnership tax advisor. She focuses her practice on corporate finance, mergers and acquisitions, and on advising investment funds including hedge funds, private equity funds, hybrid funds and funds of funds, as well as private fund managers and institutional investors regarding regulatory compliance, structure and tax considerations. DeMasi has managed tax matters of multi-billion-dollar private equity fund closings and has extensive experience with ECI, loan origination, UBTI, deferred compensation, PFIC/CFC, FATCA, disguised sales, guaranteed payments, foreign governments and publicly-traded partnership rules. She also represents fund managers in connection with sales of their investment management businesses and investments by seed capital providers, as well as funds of funds and institutional investors apropos their investment activities.
Prior to joining Lane Powell, DeMasi was an attorney in the investment management and tax practice group at Schulte Roth & Zabel LLP, which has one of the country’s most prominent investment funds practices. She received her J.D. from Cornell University Law School and her B.A. in International Studies, Comparative Literature; and Spanish from Pennsylvania State University. DeMasi is licensed in the state of New York.
